Public offer of the online store Benket

1. General Provisions

1.1. This public offer (hereinafter – the "Offer") is an official proposal of the online store "Benket" (hereinafter – the "Seller") to conclude a Sales Contract for goods remotely (via the Internet) with individuals (hereinafter – the "Buyer") under the terms and conditions set forth in this Offer, in accordance with the Civil Code of Ukraine.

1.2. The Offer is published on the Seller's official website — benket.com.ua (hereinafter – the "Online Store").

1.3. Full and unconditional acceptance of this Offer (acceptance) occurs at the moment of placing an order on the website and its confirmation, including by making a payment (prepayment or cash on delivery).

1.4. This Offer regulates the relationship between the Seller and the Buyer regarding remote sale and purchase of goods via the Online Store and is binding for both parties.

1.5. The Seller reserves the right to make changes to this Offer without prior notice. The new version of the Offer becomes effective from the moment of its publication on the website.

2. Definitions and Terms

2.1. Goods — alcoholic and non-alcoholic beverages presented on the Online Store website.

2.2. Online Store — the Seller's website created for remote sale of goods via the Internet.

2.3. Seller — a legal entity or an individual entrepreneur selling goods through the Online Store.

2.4. Buyer — a capable individual who has reached the age of 18, has accepted the terms of this Offer, and has placed an order on the website.

2.5. Order — the selection of goods by the Buyer with subsequent placement through the website and payment in accordance with the terms of this Offer.

2.6. Acceptance — full and unconditional acceptance by the Buyer of the terms of the Offer.

2.7. Transport Company — a third party providing delivery of goods from the Seller to the Buyer.

3. Subject of the Contract

3.1. The Seller undertakes to transfer the ordered goods to the Buyer's ownership, and the Buyer undertakes to pay for and accept them under the terms of this Offer.

3.2. The subject of this Contract is the sale of goods presented in the catalog of the Online Store benket.com.ua.

3.3. The Seller guarantees that all goods comply with the requirements of current Ukrainian legislation, have the necessary documents, certificates, and meet quality standards.

3.4. Sale of alcoholic beverages is carried out exclusively to persons who have reached the age of 18. The Seller has the right to demand proof of the Buyer's age upon delivery.

4. Order Placement Procedure

4.1. The order is placed by the Buyer through the Online Store website using the "Cart" function.

4.2. When placing an order, the Buyer must provide accurate data: name, contact phone number, delivery address, and email.

4.3. After placing an order, the Buyer receives an email confirmation or a call from a manager to clarify details.

4.4. The order processing time is up to 24 hours from the moment of placement (on business days). Orders placed on weekends or holidays are processed on the first business day.

4.5. The Buyer has the right to cancel the order before it is shipped by notifying the Seller via email or phone.

4.6. If the order has already been shipped, refusal of delivery is possible only with compensation for delivery costs in both directions.

5. Payment Procedure

5.1. Orders are paid by one of the following methods:

            via the LiqPay system (online payment by bank card);

            cash on delivery upon receipt at the Transport Company branch.

5.2. For online payments, funds must be transferred within 24 hours from the moment of order placement.

5.3. For cash on delivery, payment is made upon receipt of the parcel at the Transport Company branch.

5.4. The Seller has the right to cancel the order in case of late payment or providing inaccurate contact details.

5.5. All prices on the website are indicated in Ukrainian Hryvnia and include all taxes.

6. Loyalty Program and Discount Application

6.1. General Provisions: The Seller has the right to implement a loyalty program within which Bonuses may be accrued to the Buyer. Bonuses are a form of personal discount and do not have the status of currency, payment instrument, or securities.

6.2. Use of Bonuses: The Buyer has the right to use accumulated Bonuses to receive a discount when placing an Order. The deduction of Bonuses is carried out according to the rates and terms defined in the Loyalty Program rules published on the Website.

6.3. Restrictions on Alcoholic Products (Minimum Retail Price): In accordance with Ukrainian legislation, the use of Bonuses, promo codes, or any other discounts is not permitted if, as a result of their application, the final cost of an alcoholic beverage becomes lower than the state-established Minimum Retail Price (MRP) for the corresponding category of goods. The Seller reserves the right to automatically limit the discount amount so that the final price of the Goods complies with the requirements of current legislation.

6.4. Sale at Minimum Price: In case the Buyer has accumulated enough Bonuses to receive a 100% discount on the Goods (subject to the restrictions of clause 6.3), such Goods are sold to the Buyer at a symbolic minimum cost of 1.00 UAH (one hryvnia), which is considered the price of the sales contract for accounting and tax purposes.

6.5. Exceptions: The Seller reserves the right to restrict the use of Bonuses on certain categories of goods, goods at special prices (promotional offers), or in case of selecting certain payment/delivery methods, by notifying the Buyer in advance via information displayed in the "Cart" during order placement.

6.6. Changes to Terms: The Seller has the right to unilaterally change the rules for accruing and using Bonuses, their validity period, and to suspend the Loyalty Program at any time without prior personal notice to the Buyer.

7. Order Delivery

7.1. Delivery is carried out by transport companies with which the Seller cooperates (e.g., "Nova Poshta").

7.2. Delivery is carried out only within the territory of Ukraine.

7.3. The Buyer is obliged to receive the order within the period specified by the transport company.

7.4. Upon receipt of the goods, the Buyer has the right to check their appearance and compliance with the order.

7.5. In case of the Buyer's refusal to receive the goods without valid reasons, subsequent orders may be accepted only on prepayment terms.

7.6. Free delivery (if provided) covers transportation to the carrier's branch. Redirection or "door-to-door" delivery is paid separately.

8. Rights and Obligations of the Parties

            8.1. The Seller is obliged to:

• comply with the terms of this Contract;

• timely process and ship orders;

• provide accurate information about the goods;

• check the quantity and integrity of the goods before shipment;

• notify the Buyer about the order status. 8.2. The Seller has the right to:

• refuse to sell goods in case of violation of this Contract or legislation by the Buyer (e.g., an attempt to purchase alcohol by a minor);

• temporarily suspend the acceptance of orders in case of technical issues or lack of stock.

  
  8.3. The Buyer is obliged to:

• provide accurate contact details;

• pay for and accept the order within the set time;

• check the goods upon receipt;

• not transfer the login/password to third parties;

• confirm they are at least 18 years of age.

  8.4. The Buyer has the right to:

• place orders on the website;

• receive information about goods and order status;

• contact the Seller regarding service or claims.

9. Liability of the Parties

9.1. The parties are liable for non-performance or improper performance of the terms of the Contract in accordance with current Ukrainian legislation.

9.2. The Seller is not liable for: changes in the appearance or packaging of the goods by the manufacturer; minor color differences due to screen settings; delivery delays caused by the carrier or force majeure; actions of the Buyer on the Internet.

9.3. The Seller is not liable for the provision of inaccurate or incomplete data by the Buyer.

9.4. The Seller is not liable for an attempt to purchase goods by a person under 18 years of age.

9.5. Force majeure circumstances release the parties from liability for non-performance of obligations.

10. Other Terms

10.1. All information materials posted on the website (images, descriptions, prices, texts) are the property of the Seller and are protected by copyright law.

10.2. Using the website to view goods and place orders is free of charge.

10.3. Electronic messages between the Seller and the Buyer have legal force equivalent to written documents.

10.4. Terms of discounts, bonuses, or promotions may be changed by the Seller without prior notice.

10.5. The Seller reserves the right to amend the terms of this Offer by publishing a new version on the website benket.com.ua.

11. Validity of the Contract

11.1. This Contract enters into force from the moment of its acceptance by the Buyer and is valid until the parties fulfill their obligations in full.

11.2. The Contract may be terminated: by mutual agreement of the parties; unilaterally in case of violation of the Offer terms; in cases provided for by the legislation of Ukraine.
